1. Introduction and Acceptance
These Terms & Conditions (“Agreement”) govern participation in the Grand Vault Casino Affiliate Program (“Program”) managed by 247 Entertainment LLC (“Company”, “we”, “us”, “our”) for the brand Grand Vault Casino.
By applying, registering, or continuing to participate in the Program, you (“Affiliate”) agree to be bound by this Agreement.
Participation is at our discretion and acceptance is conditioned on compliance with all terms below.
2. Definitions
Affiliate: Any person, company, or entity approved by the Company to refer traffic to Grand Vault Casino’s products or services.
Affiliate Link / Tracking Link: A unique URL issued to the Affiliate used to track referred visitors.
Referred Customer: A visitor who clicks an Affiliate Link and creates an account with the Website and meets qualifying criteria.
Qualifying Player: A Referred Customer who meets registration, activity, and anti-fraud criteria determined by the Company.
Net Gaming Revenue (NGR): Gross revenue less bonuses, refunds, chargebacks, fraudulent activity, and applicable taxes.
Commission: Payment due to the Affiliate based on the agreed commission model (Revenue Share / Hybrid / CPA).
Fraudulent Activity: Any activity designed to exploit the Program, including bonus abuse, fake accounts, bots, and other non-genuine traffic.
3. Affiliate Acceptance and Compliance
3.1 The Affiliate must provide accurate registration data and maintain it.
3.2 Affiliate approval is at the Company’s sole discretion. We may request additional documentation to verify identity, address, or business operations before approval.
3.3 Affiliates agree to comply with all applicable laws, regulations, and industry standards, including anti-fraud and data protection requirements.
3.4 Affiliates must not engage in any activity that harms the reputation or operation of the Company, its products, brands, or partners.
4. Use of Affiliate Links and Marketing Materials
4.1 Only approved tracking links and creatives provided by the Company may be used.
4.2 Affiliates must not alter or modify tracking links or marketing materials unless approved in writing.
4.3 Marketing materials must not contain unapproved messaging, misrepresentation, or misleading claims about Grand Vault Casino’s products or services.
5. Prohibited Traffic and Fraud Prevention
5.1 Affiliates must not use traffic sources or campaigns that generate non-genuine traffic including but not limited to:
- Incentivised clicks, click farms, bot traffic, fake accounts
- Auto-refreshing pages, forced redirects, cloaking techniques
- Misleading ads targeting minors or underage users
5.2 Affiliates are strictly prohibited from generating traffic from restricted jurisdictions where Grand Vault Casino does not operate.
5.3 Affiliates shall not bid on, or purchase branded keywords (including derivatives, misspellings, or misspelled variants) on search engines or any other advertising property without explicit written consent.
6. Commission and Payments
6.1 The Company shall pay commissions according to the agreed structure (Revenue Share / Hybrid / CPA) outlined in the Affiliate dashboard or agreement.
6.2 A minimum payment threshold may apply.
6.3 Commissions are calculated based on Net Gaming Revenue and other adjustments, including chargebacks, refunds, and fraudulent activity.
6.4 All payments are subject to final verification and may be delayed to account for pending reversals or suspected fraud.
6.5 If a Referred Customer is later determined to be fraudulent, duplicated, or ineligible, associated commissions may be reversed and debited from future payments.
7. Negative Carryover and Adjustments
7.1 The Program may implement a No Negative Carryover Policy, where negative balances do not carry forward to future periods.
7.2 The Company may, at its discretion, adjust or set-off negative balances from affiliate earnings for customers deemed high-risk, significantly negative, or fraudulent.
8. Payment Method and Taxes
8.1 Affiliates are responsible for providing correct payment details. The Company is not liable for payment errors due to incorrect affiliate details.
8.2 Affiliates bear responsibility for all taxes and duties associated with payments received.
8.3 The Company may withhold amounts necessary to comply with tax or legal obligations.
9. Account Suspension and Termination
9.1 The Company may suspend or terminate an Affiliate’s participation for breach of terms, non-compliance, fraud, or unusual activity.
9.2 Upon suspension, outstanding commissions may be withheld or reversed.
9.3 Affiliates will immediately cease using all tracking links and marketing materials upon termination.
9.4 Termination does not affect rights or liabilities accrued prior to termination.
10. Confidentiality
10.1 Affiliates may receive confidential information related to the Program.
10.2 Affiliates agree not to disclose confidential information to third parties or use it for competitive purposes.
10.3 The Company’s intellectual property remains the sole property of the Company.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages.
11.2 The total liability of the Company under this agreement shall not exceed the total commissions paid to the Affiliate in the 12 months preceding the claim.
12. Warranties and Representations
12.1 Affiliates warrant that all information submitted during registration is true, accurate, and complete.
12.2 Affiliates represent that their marketing methods comply with all laws and industry rules.
12.3 Affiliates shall not make unfounded or unverified claims about Grand Vault Casino products.
13. Modifications to the Agreement
13.1 The Company may modify these terms at any time.
13.2 Changes take effect upon posting on the affiliate site or dashboard.
13.3 Continued participation after changes indicates acceptance of the new terms.
14. Governing Law and Jurisdiction
This Agreement is governed by the laws of the jurisdiction in which the Company is registered.
Any disputes arising under this Agreement shall be resolved exclusively in the courts of that jurisdiction.
15. Miscellaneous
15.1 This Agreement constitutes the entire understanding between the parties on this subject matter.
15.2 Affiliate may not assign or transfer rights without prior written consent.
15.3 If any provision is deemed unenforceable, it shall be severed without affecting the remainder of the Agreement.
16. Compliance and Anti-Fraud Measures
16.1 The Company reserves the right to audit Affiliates’ marketing practices.
16.2 Affiliates must comply with any verification requests, documentation submissions, or investigations related to fraud detection.
16.3 The Company may refuse commissions for traffic that cannot be verified as legitimate.
